Terms of Service

These Terms of Service ("Terms") govern your access to and use of NoteFlow ("the Service"), provided by NoteFlow ("we", "us", or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to enter into a binding contract. By creating an account, you represent that you meet these requirements.

2. Account Registration

You agree to provide accurate, complete information when creating your account, and to keep that information up to date. You are responsible for maintaining the confidentiality of your password and for all activity under your account. Notify us immediately at getnoteflowapp@gmail.com of any unauthorized access.

3. Subscription and Billing

Free Trial

NoteFlow offers a 14-day free trial. No credit card is required to start the trial. At the end of the trial, you must select a paid plan to continue using the Service.

Paid Subscriptions

Paid plans are billed monthly or annually in advance through our payment processor (Stripe). Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period — no refunds are provided for partial months.

Refunds

All sales are final. We do not offer refunds for partial billing periods, unused features, or subscription renewals.

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Bypass authentication, rate limits, or other security measures
• Upload malware, viruses, or harmful code
• Resell, sublicense, or share your account access with third parties outside your firm's authorized team
• Use the Service to harass, abuse, or harm others
• Scrape or automate use of the Service in violation of our policies

5. Your Content and Data

You retain all rights to the financial data, trial balances, and disclosures you upload to NoteFlow ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you.

You are solely responsible for the accuracy, legality, and completeness of Your Content.

6. Professional Responsibility Disclaimer

NoteFlow is a tool that assists with the preparation of financial statements. It is not a substitute for professional accounting judgment, audit, or attest services.

The output of NoteFlow — including financial statements, notes, and disclosures — must be reviewed and approved by a qualified accounting professional before being relied upon, distributed, or filed. NoteFlow makes no representation that its output meets any specific accounting standard, regulatory requirement, or audit standard.

You are responsible for:

• Verifying the accuracy of all data and outputs
• Applying professional judgment in selecting and presenting disclosures
• Compliance with U.S. GAAP, IFRS, or other applicable accounting frameworks
• Compliance with PCAOB, AICPA, SEC, or other regulatory standards as applicable

7. Intellectual Property

The Service, including its software, design, branding, and content (excluding Your Content), is owned by NoteFlow and protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works without our written permission.

8. AI Features

NoteFlow includes optional AI-powered features (e.g., AI Rewrite for disclosures). When you use these features, your text is sent to a third-party AI provider (Anthropic) for processing. AI-generated output should be carefully reviewed before use — AI may produce inaccurate or inappropriate text. You are solely responsible for the final content of your financial statements.

9. Service Availability

We strive to keep NoteFlow available 24/7 but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime. We are not liable for any losses resulting from Service unavailability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. NOTEFLOW MAKES NO WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR PRODUCE OUTPUT COMPLIANT WITH ANY ACCOUNTING STANDARD.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTEFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold NoteFlow harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or other legitimate business reasons. You may cancel your account at any time. Upon termination, your access to the Service will end and your data will be deleted in accordance with our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-laws principles. Any disputes arising under these Terms will be resolved in the courts located in the United States.
